1. ACCEPTANCE OF TERMS
Welcome to Haven. These Terms of Service ("Terms") constitute a legally binding agreement between you ("you," "your," or "User") and Haven Technologies Inc. ("Haven," "we," "us," or "our") governing your access to and use of the Haven mobile application and related services (collectively, the "Service").
BY CREATING AN ACCOUNT, ACCESSING, OR USING HAVEN, YOU AGREE TO BE BOUND BY THESE TERMS.
If you do not agree to these Terms, you must not use the Service. These Terms apply to all users of Haven, including both free and premium subscribers.
2. DESCRIPTION OF SERVICE
Haven is an artificial intelligence-powered companion application designed to provide emotional support and meaningful conversation. Through text and voice interactions, Haven offers users a safe, judgment-free space for authentic self-expression.
Haven uses advanced AI technology to:
- Generate conversational responses
- Remember user preferences, goals, and significant information
- Process voice messages (speech-to-text)
- Provide voice responses (text-to-speech)
- Create a personalized companion experience
Haven operates on a freemium model:
- Free Tier: Limited text-based conversations (up to 10 messages per day)
- Premium Tier: $9.99 CAD per month, including unlimited text conversations, voice features, and all AI modes
3. ELIGIBILITY AND AGE REQUIREMENT
3.1 Age Requirement
YOU MUST BE AT LEAST 18 YEARS OLD TO USE HAVEN.
By using Haven, you represent and warrant that you are 18 years of age or older. Haven does not knowingly collect information from, or provide services to, anyone under 18 years of age.
3.2 Account Termination for Minors
If we discover that a user is under 18 years old, we will immediately terminate their account and delete all associated data.
3.3 Verification
We reserve the right to request proof of age at any time. Failure to provide verification may result in account suspension or termination.
4. ACCOUNT REGISTRATION AND SECURITY
4.1 Account Creation
To access certain features of Haven, you must create an account. You agree to:
- Provide accurate, current, and complete information
- Maintain and update your information to keep it accurate
- Maintain the security of your account credentials
- Notify us immediately of any unauthorized access
4.2 Account Responsibility
You are responsible for all activities that occur under your account. You may not:
- Share your account with others
- Allow others to access your account
- Create multiple accounts to bypass service limitations
5. SUBSCRIPTION AND PAYMENT TERMS
5.1 Premium Subscription
Haven Premium is available for $9.99 CAD per month on a recurring subscription basis.
Premium includes:
- Unlimited text conversations
- Voice features (speech-to-text and text-to-speech)
- Access to all AI modes (support, coach, tutor, romantic)
- Enhanced memory capabilities
- Priority support
5.2 Free Trial
New users may receive a 7-day free trial of Haven Premium. You will not be charged during the trial period. At the end of the trial, your subscription will automatically convert to a paid subscription unless you cancel before the trial ends.
5.3 Billing and Auto-Renewal
Subscriptions automatically renew at the end of each billing period unless canceled. You will be charged the then-current subscription price. We will notify you of any price changes in advance.
Payment is processed through RevenueCat and your chosen payment method (Apple App Store or Google Play Store). By subscribing, you authorize recurring charges.
5.4 Cancellation
You may cancel your subscription at any time through:
- The Settings menu in the Haven app
- Your Apple App Store or Google Play Store account settings
- By emailing info@haven-ai.ca
Upon cancellation, you will retain access to Premium features until the end of your current billing period. No partial refunds will be issued for unused time.
5.5 Refund Policy
7-Day Money-Back Guarantee: If you are unsatisfied with Haven Premium, you may request a full refund within 7 days of your initial purchase or renewal. After 7 days, all charges are final and non-refundable.
To request a refund, email info@haven-ai.ca with your account details and reason for the refund request.
5.6 Price Changes
We reserve the right to change subscription prices. Price changes will take effect at the start of your next billing cycle. We will provide at least 30 days' notice of any price increases.
6. ACCEPTABLE USE POLICY
6.1 Permitted Use
Haven is intended for personal, non-commercial use for emotional support, self-reflection, and companionship.
6.2 Prohibited Conduct
You agree NOT to:
a) Abuse or Harassment:
- Harass, abuse, threaten, or intimidate Haven or other users
- Use Haven to generate content that is hateful, discriminatory, or harmful
- Engage in any form of bullying or harassment
b) Illegal Activities:
- Use Haven for any illegal purpose or in violation of any laws
- Facilitate, promote, or engage in illegal activities
- Use Haven to plan, coordinate, or execute criminal acts
c) Impersonation:
- Impersonate any person or entity
- Falsely represent your affiliation with any person or organization
- Misrepresent your identity or age
d) Spam and Automated Use:
- Send spam, unsolicited messages, or advertisements
- Use bots, scripts, or automated tools to access Haven
- Engage in any activity that disrupts or interferes with the Service
e) Security Violations:
- Attempt to hack, reverse engineer, or bypass Haven's security measures
- Access or attempt to access other users' accounts or data
- Introduce viruses, malware, or other harmful code
- Circumvent usage limits or restrictions
f) Inappropriate Content:
- Use Haven to generate, request, or share sexually explicit content
- Engage in sexually explicit or inappropriate conversations with Haven
- Use Haven in connection with adult content or services
g) Data Extraction:
- Scrape, crawl, or extract data from Haven
- Use Haven's responses for training competing AI models
- Copy, reproduce, or redistribute Haven's AI-generated content for commercial purposes
6.3 Enforcement
Violation of this Acceptable Use Policy may result in:
- Warning or temporary suspension
- Permanent account termination
- Legal action if warranted
- Reporting to law enforcement if illegal activity is suspected
7. INTELLECTUAL PROPERTY RIGHTS
7.1 Haven's Intellectual Property
Haven owns all rights, title, and interest in:
- The Haven mobile application (code, software, algorithms)
- The Haven brand, name, logo, and trademarks
- All AI models, training data, and proprietary technology
- The user interface, design, and visual elements
- All documentation, content, and materials provided by Haven
You may not:
- Copy, modify, distribute, or create derivative works of Haven
- Reverse engineer, decompile, or disassemble the Service
- Remove or alter any proprietary notices or labels
- Use Haven's name, logo, or trademarks without written permission
7.2 User Content Ownership
You retain ownership of your conversation content and personal data.
By using Haven, you grant us a limited license to:
- Process your conversations to generate AI responses
- Store your conversations and memories to provide the Service
- Display your content to you within the app
- Use your content to improve Haven's functionality
7.3 Anonymized Data for AI Training
With your explicit opt-in consent, we may use anonymized and aggregated conversation data to improve Haven's AI capabilities. This includes:
- Training and refining AI models
- Improving response quality and accuracy
- Developing new features
You can opt-out of AI training at any time in Settings > Privacy. Opting out does not affect your use of Haven, and we will not use your data for training purposes.
We will NEVER:
- Share identifiable conversation data with third parties for training
- Sell your conversation data
- Use your data for advertising purposes
8. IMPORTANT DISCLAIMERS
8.1 NOT A MEDICAL OR THERAPEUTIC SERVICE
HAVEN IS NOT A SUBSTITUTE FOR PROFESSIONAL MENTAL HEALTH CARE.
Haven is NOT:
- A licensed therapist, counselor, or mental health professional
- A medical service or healthcare provider
- A crisis intervention service or emergency hotline
- A replacement for professional therapy, psychiatric care, or medical treatment
Haven is designed for:
- Emotional support and companionship
- Self-reflection and personal growth
- Meaningful conversation in a judgment-free space
8.2 When to Seek Professional Help
If you are experiencing:
- Suicidal thoughts or ideation
- Severe depression or anxiety
- A mental health crisis or emergency
- Thoughts of harming yourself or others
- Symptoms requiring medical attention
DO NOT rely on Haven. Contact:
- Canada: 988 Suicide Crisis Helpline or text 45645
- USA: 988 Suicide & Crisis Lifeline or text "HELLO" to 741741
- Emergency Services: 911 (immediate danger)
- Your Healthcare Provider: For professional mental health support
8.3 AI Limitations and Risks
Haven uses artificial intelligence, which has inherent limitations:
AI may:
- Generate inaccurate, inappropriate, or nonsensical responses
- Misunderstand context, tone, or nuance
- Fail to recognize serious situations or crises
- Produce responses that are outdated or incorrect
- Exhibit biases present in training data
By using Haven, you acknowledge and accept that:
- AI-generated responses are not professional advice
- Haven cannot guarantee accuracy, appropriateness, or helpfulness
- You use Haven at your own risk and discretion
- Haven is not liable for any harm resulting from AI responses
Do not:
- Rely on Haven for medical, legal, or financial advice
- Make important life decisions based solely on Haven's responses
- Assume Haven can detect or prevent crises
8.4 User Responsibility
You are solely responsible for:
- Your interactions with Haven
- Any decisions or actions you take based on Haven's responses
- Seeking appropriate professional help when needed
- Using Haven in a safe and responsible manner
9. PRIVACY AND DATA PROTECTION
Your privacy is important to us. Our collection, use, and protection of your personal information is governed by our Privacy Policy, available at haven-ai.ca/privacy.
Key privacy points:
- Your conversations are encrypted and stored securely
- We do not sell your data to third parties
- You can access, edit, export, or delete your data at any time
- Voice recordings are processed temporarily and not permanently stored
- Anonymized data may be used for service improvement (with opt-in consent)
By using Haven, you consent to our Privacy Policy.
10. WARRANTIES AND DISCLAIMERS
10.1 "AS AVAILABLE" Service
HAVEN IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, either express or implied, including but not limited to:
- Warranties of merchantability
- Fitness for a particular purpose
- Non-infringement
- Accuracy or reliability
10.2 No Guarantee of Availability
We do not guarantee that Haven will:
- Be available at all times or without interruption
- Be free from errors, bugs, or security vulnerabilities
- Meet your specific requirements or expectations
- Provide any particular results or outcomes
10.3 Third-Party Services
Haven relies on third-party services (AI providers, cloud hosting, payment processors). We are not responsible for:
- Third-party service outages or failures
- Changes to third-party services
- Third-party data breaches or security incidents
11. LIMITATION OF LIABILITY
11.1 Maximum Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, HAVEN'S TOTAL LIABILITY TO YOU IS LIMITED TO:
- The amount you paid to Haven in the 12 months preceding the claim, OR
- $100 CAD, whichever is less.
11.2 Excluded Damages
HAVEN IS NOT LIABLE FOR:
- Indirect, incidental, consequential, or punitive damages, including:
- Loss of profits, revenue, or data
- Loss of use or business interruption
- Emotional distress or psychological harm
- Harm resulting from AI responses or advice
- Damages resulting from your reliance on Haven
- Harm caused by third-party services
- Any other damages beyond our direct control
11.3 Jurisdictional Limitations
Some jurisdictions do not allow the exclusion of certain warranties or limitation of liability. In such cases, our liability will be limited to the maximum extent permitted by law.
12. INDEMNIFICATION
You agree to indemnify, defend, and hold harmless Haven Technologies Inc., its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from:
- Your use or misuse of Haven
- Your violation of these Terms
- Your violation of any third-party rights
- Your violation of applicable laws or regulations
- Content you submit or generate through Haven
- Any actions taken based on Haven's responses
13. TERMINATION
13.1 Termination by Haven
We may suspend or terminate your account immediately, without notice, if:
- You violate these Terms or our Acceptable Use Policy
- You engage in abusive, harassing, or illegal behavior
- You fail to pay for Premium services
- We suspect fraudulent activity or security threats
- We are required to do so by law
- We cease operating Haven
We may also terminate your account for any reason with 30 days' notice.
13.2 Termination by You
You may cancel your account at any time through:
- Settings > Account > Delete Account in the Haven app
- Emailing info@haven-ai.ca with your account details
13.3 Effect of Termination
Upon termination:
- Your access to Haven will cease immediately
- Your subscription will be canceled (no refunds for unused time)
- Your data will be retained for 30 days, then permanently deleted
- You may request a data export within the 30-day grace period
- All licenses and rights granted to you will terminate
You may not:
- Create a new account if terminated for violating Terms (without our permission)
- Access Haven through another user's account
14. DISPUTE RESOLUTION
14.1 Governing Law
These Terms are governed by and construed in accordance with the laws of the Province of Quebec, Canada, without regard to conflict of law principles.
14.2 Jurisdiction
Any disputes arising from these Terms or your use of Haven shall be resolved exclusively in the courts of Montreal, Quebec, Canada. You consent to the personal jurisdiction of these courts.
14.3 Class Action Waiver
YOU AGREE TO RESOLVE DISPUTES WITH HAVEN ON AN INDIVIDUAL BASIS ONLY. You waive any right to participate in a class action lawsuit or class-wide arbitration against Haven.
14.4 Informal Resolution
Before filing any legal claim, you agree to contact us at info@haven-ai.ca to attempt informal resolution. We will work in good faith to resolve disputes amicably.
15. MODIFICATIONS TO TERMS
15.1 Right to Modify
We reserve the right to modify these Terms at any time. Changes may be made to:
- Reflect changes in our Service or business practices
- Comply with legal or regulatory requirements
- Improve clarity or address new issues
15.2 Notice of Changes
We will provide at least 30 days' notice of material changes through:
- Email to your registered email address
- In-app notification
- Posting on haven-ai.ca
15.3 Acceptance of Changes
Continued use of Haven after changes take effect constitutes your acceptance of the modified Terms.
For material changes affecting your rights, we may require explicit re-acceptance (e.g., checking a box or clicking "I Agree") before you can continue using Haven.
If you do not agree to the changes, you must stop using Haven and cancel your account.
16. GENERAL PROVISIONS
16.1 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Haven regarding the Service.
16.2 Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
16.3 No Waiver
Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or our right to enforce it in the future.
16.4 Assignment
You may not assign or transfer your rights or obligations under these Terms. We may assign our rights and obligations to any successor or affiliate.
16.5 Force Majeure
Haven is not liable for delays or failures in performance resulting from circumstances beyond our reasonable control, including natural disasters, war, terrorism, internet outages, or third-party service failures.
16.6 Survival
Provisions that by their nature should survive termination (including intellectual property, disclaimers, limitations of liability, indemnification, and dispute resolution) will remain in effect after termination.
16.7 Language
These Terms are provided in English. If translated, the English version prevails in case of any conflict.

18. ACKNOWLEDGMENT
BY USING HAVEN, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF SERVICE.
You also acknowledge that:
- Haven is not a medical or therapeutic service
- AI has limitations and may produce errors
- You use Haven at your own risk
- You are 18 years of age or older
- You have read and agree to our Privacy Policy
If you do not agree to these Terms, you must not use Haven.
